Legal Associate Job in Kenya




Job Vacancy: Legal Associate
 



You shall report to the Head of Legal & Corporate Affairs and your main role will be to assist the Head of Legal & Corporate Affairs in the delivery of legal services to the company.

Property Matters



  • Research landlord/tenant laws and rights.

  • Visit rented buildings to verify and document (photograph) problems.

  • Draft and review terms and conditions of written rental agreements/leases; prepare analysis of key terms.

  • Study termination notices served to see if they were prepared and served properly in accordance with lease provisions.

  • Negotiate with landlord and property agents.

  • Draft notice to leave the premises, complaint, requests for service etc.

  • Ensure proper due diligence is carried out on potential rental buildings.

  • Maintain an up to date record of leases and ensure all buildings the company has presence are contracted.

  • Maintain an up-to-date database for all leases.


Litigation


  • Maintain repository and/or database of current court rules.

  • Maintain litigation docket, calendar, or tickler system, noting deadline dates for responsive pleadings/motions, court appearances, and other important deadlines.

  • Remind attorneys and prepare for meetings, hearings, depositions and trials.

  • Draft answer to complaint and other defensive pleadings.

  • Draft demand letters.

  • Review rules of procedure in court where action will be filed.

  • Draft settlement documents, including agreements and releases for dismissal or satisfaction.


Intellectual Property


  • File trademark, service mark, and copyright applications.

  • Maintain record of certificates issued by KIPI and ensure timely renewals.


Corporate Matters


  • Work with internal business group representing outside client/vendor service to determine need for and scope of potential contract.

  • Prepare drafts of contracts for legal department. Propose alternative text/clauses for external client/vendor contracts as appropriate.

  • Negotiate contract terms with clients/vendors and maintains documentation of changes.

  • Manage contract approval process to ensure client/vendor compliance.

  • Collect and verify credentials and other required documentation for execution of new contracts or amendments.

  • Produce business and financial information required by external clients/vendors.

  • Identify contractual issues and takes appropriate action to ensure a satisfactory resolution.

  • Coordinate contract interpretation, implementation, and communication, both internally and externally.

  • Ensure that the contract is thoroughly reviewed for legal, risk management, tax and accounting issues prior to submitting for executive approval.

  • Create and distribute reports showing status of contract activity.

  • Maintain and manage contract database.

  • Review MEMA permit applications for compliance with regulatory requirements and review permits issued by the agency.


Regulatory


  • Ensure compliance of license conditions.

  • Develop and maintain the regulatory affairs compliance database by identifying and tracking regulatory compliance requirements and ensuring preparation of timely responses to the regulator.

  • Prepare briefing materials on regulatory issues for use in regulatory meeting/proceedings.

  • Other regulatory special projects and administrative tasks as assigned.


Other Responsibilities:


  • Answering telephones, give information to internal departments, coordinate conference calls and meetings, compose and type memos and various correspondence, organize and distributes incoming mail, responds to routine calls and correspondence, transcribe sensitive material, provides general filing for legal documents, and perform other administrative and clerical duties.

  • Create and maintain legal files to promote efficient retrieval and storage of confidential company documents and information.

  • Performs special projects and other duties as assigned/required.


Experience


  • Degree in Bachelors of law (LLB)

  • Post graduate Diploma from Kenya School of law

  • Active license from the Law Society of Kenya
