Job Title: Legal and Compliance Officer
Reports To: Executive Director
Department: Legal Affairs
Job Purpose: The Legal and Compliance Officer will be responsible for the effective and efficient management of the Legal department, provision of legal advisory services and ensuring effective management of legal and contractual risks.
Duties and Responsibilities:
- Negotiate, draft and review contracts, service level agreements, MOU’s, standard forms, templates, leases and other legal documents to ensure compliance to legal requirements and the Company’s policies;
- Ensure the Company’s trademarks, brands and assets are protected and registered.
- Assist the Management in managing litigation filed by or against the Company by responding to libel and other claims; reviewing the status of on-going cases; liaising with and managing external lawyers and insurance brokers and monitor all risks attaching thereto.
- Maintain a database for all legal cases, contract and all legal related files and ensure they are up to date;
- Provide legal advice to the Company to ensure smooth execution of processes and liaise with relevant departments to identify legal risks and ensure appropriate actions have been taken.
- Continuously audit and monitor compliance with statutory obligations and advise management on changes. These include NEMA, City Council, OSHA, Employment and Labour Laws among others.
- Review ongoing cases and advice management accordingly. Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
- Review and advise management on legal implications of internal policies and procedures.
- Review progress of outstanding litigation and liaise with and manage external lawyers.
- Prepare monthly and quarterly reports for the department for executive management meetings.
- Review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management’s attention.
- Formulate compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly.
- Conduct training on legal matters affecting the Company and disseminate appropriate legal requirements to staff.
- Build relationships with government and other stakeholders
Key Accountabilities:
- Adept at drafting and reviewing legal documents
- Ability to provide independent advice (orally and in writing) to senior level management on highly technical matters. Positive attitude and drive for results
- Professionalism, interest in evolving trends with evidenced pursuit of professional education programmes
- Exemplary interpersonal skills, and ability to mediate and facilitate dispute resolution
- Excellent verbal and written communication
- Ability to maintain confidentiality of privileged information and to ensure absolute discretion and sensitivity to confidential matters
- Proven track record of providing accurate and effective legal counsel.
- Excellent relationship management and communication skills necessary for interaction with the Government agencies, the Judicial system and negotiating parties.
- Demonstrate knowledge of, and experience with, laws dealing with government and/or commercial contract administration, particularly contract negotiation, preparation and administration.
Qualifications, Experience & Skills
Minimum Qualifications:
- Law Degree and graduate from the Kenya School of Law
- Holder of a valid Practicing Certificate
- Holder of CPS (K) will be an added advantage
Experience:
- At least 5 years’ experience in a corporate/commercial law environment in East Africa.
- Knowledgeable on trademark, labour and manufacturing related laws and requirements in Kenya.
- Experience in manufacturing sector preferred
- Admitted Advocate with a good understanding of East Africa Law.
- Knowledge or experience on Company Secretarial work will be an added advantage
