Kenya: Facilitation for a Merger Process

Background:

HelpAge Kenya and HelpAge International have successfully partnered at championing for the rights and welfare of older persons in Kenya for a span of 30 years. HelpAge Kenya together with other 3 affiliates played a significant role at spearheading the formative stages of HelpAge International. On her part, HelpAge International has played a key role of provided technical and resource capacity to HelpAge Kenya.

With the interest of protection and promotion of rights and well being of older persons in Kenya, both the organisations have come together to form a stronger national organization. The national organization will have an independent management board in line with legal stipulations of the Kenyan Public Benefits Organizations Act (PBO). A task force consisting of members from HelpAge International and HelpAge Kenya has been formed to guide this process. It is desired that the new organization is shaped by end of March 2015.

Purpose:

In this regard the Task Force wishes to engage the services of a consultant to provide quality advice to the merger task force and technical support in the facilitation of the merger process in line with the PBO Act and other Kenyan Laws and procedures.

Expected Outputs:

• Advise the Task Force on the various aspects of formation of an effective national organization including issues such as process of formation, recommended structure and legal issues.

• Registration of the proposed Public Benefits Organization (NGO) including the compilation of essential documentation for the registration process (minimum requirements).

Scope of Work:

Under this assignment, the consultant is expected:

· To provide technical and legal guidance as key facilitator;

· Provide advisory to the Task Force (both verbal and written),

· Review the content of the PBO Act and other statutory laws and recommend options for appropriate structures that will satisfy the MOU.

The consultant is expected to complete the task by the 31st January 2015.

Required Qualifications

· The qualified consultants must be from a registered consultancy firm, which has been in existence for at least five (5) years and has spearheaded not less than 3 similar merger processes.

· A minimum of 5 years of proven professional experience in Merger with bias to nonprofit making organizations.

· He/she must have an understanding of national, regional and international frameworks guiding formation of non-profit organizations in Kenya as per Kenyan law.

· The consultants must be conversant with PBOs guidelines.

· The firm is expected to submit Curriculum for two of its people to be engaged in this process; that for the lead and assistant consultants.

· The firm to submit its profile with keen attention on Past performance reference.Attach copies of the firm’s certificate of registration, KRA Clearance certificate and KRA PIN number.
