Profile Introduction
Our Client, a leading Insurance company in the region, seeks to recruit a Regional Legal Counsel to provide effective and efficient In House Legal Advisory services and Board Secretariat to the Group in all operating Countries (or target territory) within Africa. The individual will be reporting to the Group Company Secretary.

Minimum Requirements

Bachelor’s Degree of Laws (LL.B) from a recognized UniversityPost Graduate Qualifications – Diploma in LawProfessional qualifications in Diploma in Law; Certified Public Secretary or Chartered SecretaryMust be an Advocate with a valid practicing certificateMembership to the Chartered Institute of Arbitrators would be an added advantage;10 years’ experience in commercial law practice, 5 of which should have been at a management level in a medium size / large Corporation.Job Specification- Regional Legal CounselIn – House Legal advisory services in accordance with the service level agreements with Group ClientsSupervision of external lawyers – commercial and litigation mattersRegistration, protection/enforcement and monitoring use of intellectual property. Monitoring contractual and statutory ComplianceParticipating in formulation and review of legal Policies and procedures for the Group;Carrying out research and preparing reports/ legal opinions on complex legal issues;Sensitizing Management on statutory Provisions affecting the Group;Participating in negotiations on commercial and business related matters;Negotiating out of court settlements with Group’s creditors / debtors;Corporate Communication to Shareholders, Directors, Management meetings, staff, Public & other stakeholder information. Provision of efficient Board secretariat services as may be directed from time to time; responsible for organizing induction and training of new Board Members;Preparing for Board meetings;Circulation of Board packs, taking minutes, maintaining the same for Board and its Committees.Preparing action papers on all Board decisions to the Management for implementation and providing the Board with feedback from Management;Filing of statutory returns;Maintenance of shares registers and other records;Arranging for directors travel and accommodation. Corporate Governance / Statutory ComplianceCorporate Communication - Shareholders, Directors, Management meetings, staff, Public & other stakeholder information. Corporate / statutory Compliance - Legal & Statutory, Companies’ Act, Any Stock Exchanges Manuals, Capital Markets Authority (CMA), Bankers, insurance and other Regulatory Authorities. Commercial laws, general compliance legislation and all Laws generally.Corporate Governance – Custodian of good corporate governance practices, Board stewardship & accountability, Fiduciary duties of directors, Board manual, code of conduct, conflict of interest and maintenance and custody of Company Seal.Corporate administration and management – Legal advice on HR Management, Retirement Benefits Administration, Insurance Administration, procurement matters and strategic planning and implementation, security and preservation of company property.  Any other matter as may be assigned by the Group Company Secretary from time to time.Strong analytical and organization skills;Computer literacy and familiarity with standard office computer applications;Excellent interpersonal and communication skills; Ability to work under pressure and meet deadlines;Ability to work and travel at short notice.

Essential Responsibilities: The Commercial Counsel for GE’s Sub-Saharan Africa region will be involved in a diverse range of legal and compliance activities including the following:
?Being responsible for providing legal and compliance advice to the legal and business teams in the Region, interfacing with the legal and compliance professionals within GGO and the various GE Energy businesses operating in the Region.
?Working closely with GE’s tax team in the structuring, establishment, renewal, rationalisation and administration of local legal entities in the Region, owning legal entity management for the Region.
?Assisting in drafting, negotiating, and closing complex transactions and projects (including but not limited to sales, sourcing, licensing, services, consortium, teaming, sub-contracting arrangements or other strategic alliances).
?Providing ongoing strategic and tactical advice and support on general commercial matters, transactions and regulatory issues;
?Assisting in selecting and supervising outside counsel on litigation, deal and compliance-related matters.
?Assisting in providing advice to the GE businesses on labor & employment issues.
?Assisting in investigating compliance issues in the Region with discretion and maturity, liaising with Ombuds and comp;liance leaders, helping to build an open reporting environment.
?Undergoing periodic formal and prractical training and work experience, with a view to being able to support more complex infrastructure transactions particularly in the Energy business.
?Training employees on aspects of the GE Integrity Program, being a motivator and energizer for a strong culture of integrity and compliance.
?Creating legal forms, templates and best practices.

Assistant Legal Counsel

The position reports to the Legal Counsel.

The incumbent will ensure that all Company interests are legally protected.

Key Responsibilities:

Hold periodical meetings with external lawyers and discuss files handled by them and report findings to the Legal Counsel.Keep an upto date schedule on matters dismissed, cleared and judgements entered against the Company.Keep an upto date schedule of costs incurred; in both civil and criminal cases.Review court awards and advise if decretal sums are to be paid or to appeal against the court judgement(s).Review court files from time to time and advise whether or not to settle.Receive court summons and lead the investigation team.Confirm that documents forwarded to external lawyers are the correct ones.Attend court proceedings instituted against the Company and prepare witnesses who attend court to give evidence on behalf of Company.Monitor court files and ensure that external lawyers are handling their cases well.Essential Qualifications and skills:
