Minimum Requirements

Essential Responsibilities: The Commercial Counsel for GE’s Sub-Saharan Africa region will be involved in a diverse range of legal and compliance activities including the following:
?Being responsible for providing legal and compliance advice to the legal and business teams in the Region, interfacing with the legal and compliance professionals within GGO and the various GE Energy businesses operating in the Region.
?Working closely with GE’s tax team in the structuring, establishment, renewal, rationalisation and administration of local legal entities in the Region, owning legal entity management for the Region.
?Assisting in drafting, negotiating, and closing complex transactions and projects (including but not limited to sales, sourcing, licensing, services, consortium, teaming, sub-contracting arrangements or other strategic alliances).
?Providing ongoing strategic and tactical advice and support on general commercial matters, transactions and regulatory issues;

Assistant Legal Counsel

The position reports to the Legal Counsel.

The incumbent will ensure that all Company interests are legally protected.

Key Responsibilities:

Hold periodical meetings with external lawyers and discuss files handled by them and report findings to the Legal Counsel.Keep an upto date schedule on matters dismissed, cleared and judgements entered against the Company.Keep an upto date schedule of costs incurred; in both civil and criminal cases.Review court awards and advise if decretal sums are to be paid or to appeal against the court judgement(s).Review court files from time to time and advise whether or not to settle.Receive court summons and lead the investigation team.Confirm that documents forwarded to external lawyers are the correct ones.Attend court proceedings instituted against the Company and prepare witnesses who attend court to give evidence on behalf of Company.Monitor court files and ensure that external lawyers are handling their cases well.Essential Qualifications and skills:

Reporting directly to the Regional Counsel, with a dotted line to the Finance Director, the purpose of the job is to coordinate advice and ensure timely delivery of legal and Company Secretarial services to all of the group’s companies in East and Southern Africa including monitoring and ensuring compliance to all laws and policies where necessary.
* Overall responsibility for the Legal function in the Companies in East and Southern Africa region covering eight (8) operating companies in Kenya, Uganda, Tanzania, Malawi, Mozambique, Zambia and Zimbabwe.
Acting as the key contact for regional functional interaction.
* Intellectual property management for the company’s global brands in the region including registration, renewal and cancellations; brand building legal support in claims generation, promotional campaigns, new product launches; management of Intellectual Property disputes including trade mark infringement and counterfeits.
* Commercial contract negotiation and management; supporting all functions in the business including Supply Contracts, Human Resource contracts, Finance contracts, Information Technology support on software licensing and Customer Development contracts
* Implementing merger/acquisition transactions and managing risk arising there from, including engagement with Monopolies/competition authorities, conduct of internal due diligence, data collection, management of transferring contracts, employees.
* Managing competition matters including competitor challenges, consumer complaints and compliance to advertising standards.

Reporting to the Senior Manager – Public Policy and Market Regulation, the job holder will provide skilled and professional advisory services on competition matters, industry regulation and legislation, policy review, research, drafting of legal documentation on inter-operator interconnection, roaming and signaling services, facility sharing, and related inter-operator activities.

Key Responsibilities
